Terms of Service
FinishSure Legal Package v1.0 — Effective July 9, 2026
1. Parties and agreement
These Terms of Service are between Irys IoT, LLC, a Georgia limited liability company doing business through the FinishSure service (collectively, “FinishSure,” “we,” “us,” or “our”), and the customer identified in the applicable account or order (“Customer”). By creating an account, placing an order, electronically accepting these Terms, or using the Services or Equipment, Customer agrees to this FinishSure Legal Package v1.0.
2. Services
FinishSure provides temporary environmental and project-condition monitoring hardware, cellular connectivity, dashboards, notifications, reports, and related support as described in the applicable order. FinishSure is not a life-safety system, alarm service, code-compliance certification, engineering service, laboratory test, or substitute for required inspections, professional judgment, or manufacturer instructions.
3. Customer responsibilities
Customer must provide accurate account, project, contact, and shipping information; install and protect Equipment according to instructions; maintain lawful site access; review data and alerts; take appropriate corrective action; and ensure that only authorized users access the account. Customer remains solely responsible for construction means and methods, environmental controls, material storage, installation decisions, project supervision, and compliance with laws, specifications, contracts, warranties, and manufacturer requirements.
4. Orders, fees, taxes, and payment
Fees and included services are stated in the order. Domestic outbound shipping and one prepaid return shipment are included unless the order states otherwise. Card transactions are processed by Stripe. Purchase-order transactions are subject to acceptance, credit approval, and invoicing by Irys IoT, LLC. Customer is responsible for applicable taxes, excluding taxes imposed on our income.
5. Monitoring limitations
Measurements, communications, alerts, and reports may be affected by sensor placement, obstruction, calibration tolerances, power, weather, cellular service, internet availability, third-party systems, maintenance, damage, or other circumstances. Data gaps and delayed notifications may occur. Customer must not rely on FinishSure as the sole method of detecting or preventing an unsafe, damaging, or noncompliant condition.
6. Accounts and security
Customer will safeguard login credentials, promptly report suspected unauthorized access, and remain responsible for activity under its accounts. FinishSure may suspend access when reasonably necessary to protect security, investigate misuse, address nonpayment, or prevent harm.
7. Acceptable use
Customer must comply with the Acceptable Use Policy incorporated into these Terms. Customer may not interfere with, reverse engineer, bypass, misuse, or attempt unauthorized access to the Website, portal, Equipment, software, networks, or another customer's information.
8. Data and intellectual property
Customer retains ownership of Customer-provided project information and project-specific monitoring data. Customer grants Irys IoT, LLC the rights reasonably necessary to host, process, transmit, analyze, and display that information to provide and support the Services. Irys IoT, LLC retains all rights in FinishSure software, dashboards, reports, documentation, designs, workflows, trademarks, and service methods. The Data Ownership and License Policy is incorporated into these Terms.
9. Warranty disclaimer
EXCEPT FOR EXPRESS COMMITMENTS IN AN ORDER, THE SERVICES, EQUIPMENT, WEBSITE, PORTAL, DATA, ALERTS, AND REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRYS IOT, LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, CONTINUOUS AVAILABILITY, AND RESULTS. FINISHSURE DOES NOT WARRANT THAT THE SERVICES WILL PREVENT DAMAGE, DEFECTS, CLAIMS, DELAYS, WARRANTY ISSUES, OR OTHER LOSS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IRYS IOT, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, PROJECT DELAY, LIQUIDATED DAMAGES, CONSTRUCTION DEFECTS, REWORK, OR LOST BUSINESS OPPORTUNITY, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF IRYS IOT, LLC ARISING OUT OF OR RELATING TO THE SERVICES, EQUIPMENT, WEBSITE, PORTAL, DATA, AN ORDER, OR THIS LEGAL PACKAGE WILL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO IRYS IOT, LLC FOR THE SPECIFIC FINISHSURE ORDER GIVING RISE TO THE CLAIM.
The foregoing limitations do not apply to liability that cannot lawfully be limited or excluded.
11. Indemnification
Customer will defend, indemnify, and hold harmless Irys IoT, LLC and its personnel from third-party claims, damages, penalties, costs, and reasonable attorneys’ fees arising from Customer's misuse of the Services or Equipment, violation of law, breach of this Legal Package, unauthorized modifications, site conditions, or Customer's construction decisions, except to the extent finally determined to have resulted from Irys IoT, LLC's gross negligence or willful misconduct.
12. Term, suspension, and termination
The service term is stated in the order. FinishSure may suspend or terminate Services for material breach, misuse, security risk, or nonpayment after any notice required by law or the order. Payment obligations, ownership provisions, disclaimers, liability limitations, indemnification, and other provisions intended to survive will continue after termination.
13. Force majeure
Irys IoT, LLC is not responsible for delay or failure caused by events beyond its reasonable control, including carrier delays, shortages, weather, natural disasters, labor disputes, utility failures, telecommunications failures, cyber incidents, government action, or acts of God.
14. Governing law and venue
Georgia law governs this Legal Package without regard to conflict-of-law rules. Exclusive venue will lie in the state or federal courts serving Fulton County, Georgia, and each party consents to personal jurisdiction there.
15. Electronic acceptance; entire agreement
Electronic acceptance constitutes Customer's signature. The applicable order, these Terms, the Equipment Rental Agreement, Privacy Policy, Acceptable Use Policy, Monitoring and Warranty Disclaimer, Data Ownership and License Policy, Return Policy, Service Level Expectations, and Electronic Signature Consent form the entire agreement for the order unless a separately signed agreement expressly controls.
